Pricing

All prices are displayed in USD and are subject to change. We reserve the right to modify pricing at any time, but changes will not affect existing subscriptions until renewal.

Payment Processing

Payments are processed securely through third-party payment processors. We do not store complete payment card details on our servers. By providing payment information, you authorize us to charge the applicable fees.

Subscription Billing

Subscriptions are billed on a recurring basis (monthly or annually) and will automatically renew unless canceled before the renewal date. You are responsible for all charges incurred under your account.

• Monthly subscriptions renew on the same day each month
• Annual subscriptions renew on the anniversary of your purchase date
• Credits reset to your plan's allocation on each billing cycle
• Unused credits do not roll over to the next billing period

Taxes

You are responsible for all applicable taxes, duties, and government fees. Prices do not include taxes unless explicitly stated. We may collect sales tax based on your billing location as required by law.

Failed Payments

If a payment fails, we will attempt to process it again. Continued payment failures may result in suspension or termination of your account and services.

Policy Rationale

Our digital products are delivered instantly upon purchase and cannot be "returned" once accessed. This policy protects the integrity and value of our products and prevents abuse.

No Exceptions

Refunds will not be issued for:

• Change of mind or buyer's remorse
• Lack of technical knowledge or inability to use the product
• Compatibility issues with third-party plugins or customizations
• Failure to read product descriptions or documentation
• Unused credits or subscription time
• Account termination due to Terms violations

Pre-Purchase Review

We strongly encourage you to review all product information, screenshots, feature lists, documentation, and these Terms before making a purchase. By completing your purchase, you acknowledge that you have reviewed all relevant information and accept our no-refund policy.

Defective Products

If you experience technical issues with our Theme, please contact support. We will work to resolve legitimate technical problems but will not issue refunds. Our sole obligation is to correct material defects or provide reasonable support.

Credit System

AI image processing tools consume credits based on the operation performed. Each subscription plan includes a monthly credit allocation that resets on your billing cycle.

Credit Costs

• Background Removal: 25 credits per image
• Product Placement/Scene Generation: 50 credits per image
• Ghost Mannequin: 75 credits per image

Credit Expiration

Credits reset to your plan's allocation on each billing cycle. Unused credits do not roll over or accumulate. Credits have no cash value and cannot be refunded or transferred.

Insufficient Credits

If you attempt to use a tool without sufficient credits, the operation will fail. You may upgrade your plan or wait until your next billing cycle for credits to renew.

Your Content

You retain all ownership rights to images you upload to our platform. By uploading content, you grant us a limited license to process, store, and display your images solely for the purpose of providing our Services.

Content Responsibilities

You represent and warrant that:

• You own or have necessary rights to all content you upload
• Your content does not infringe third-party intellectual property rights
• Your content does not violate any laws or regulations
• Your content does not contain malware, viruses, or harmful code

Prohibited Content

You may not upload images containing:

• Illegal, obscene, or offensive material
• Copyrighted material without authorization
• Personal information of others without consent
• Content that violates third-party rights

Content Removal

We reserve the right to remove any content that violates these Terms or applicable laws without notice. You are responsible for maintaining backups of your content.

Our Ownership

All intellectual property rights in the Theme, Platform, and Services, including but not limited to code, design, graphics, text, logos, and documentation, are owned by or licensed to Shiro. Your license does not transfer any ownership rights.

Trademarks

"Shiro" and associated logos are trademarks of Shiro. You may not use our trademarks without prior written permission.

Copyright Protection

Our Theme and Services are protected by copyright law. Unauthorized reproduction, distribution, or modification beyond the scope of your license is prohibited and may result in legal action.

DMCA Compliance

We respect intellectual property rights. If you believe content on our Platform infringes your copyright, please contact us with details of the alleged infringement.

Limited Warranty

We warrant that our Theme will substantially conform to its description for 30 days from purchase. Our sole obligation under this warranty is to correct material defects or provide reasonable support to resolve issues.

Third-Party Services

Our Services integrate with third-party services (payment processors, AI providers, hosting). We are not responsible for the availability, accuracy, or performance of third-party services.

Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Business interruption or downtime
• Cost of substitute services
• Reputational harm

Basis of the Bargain

These limitations apply even if we have been advised of the possibility of such damages. These limitations reflect the allocation of risk between the parties and are fundamental elements of the basis of the bargain.

Jurisdictional Limitations

Some jurisdictions do not allow certain warranty disclaimers or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to Services until the end of the paid period.

Termination by Us

We may suspend or terminate your account and license immediately, without notice, for:

• Violation of these Terms
• Fraudulent activity or payment disputes
• Abuse of Services or excessive resource usage
• Use for prohibited purposes
• Failure to pay fees when due
• Conduct that harms our business or reputation

Effect of Termination

Upon termination:

• Your license to use the Theme immediately terminates
• You must cease all use of our Services
• You must delete all copies of the Theme from your systems
• Your access to the Platform and image library will be revoked
• No refunds will be issued for unused time or credits

Survival

Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

Informal Resolution

Before filing any formal dispute, you agree to contact us at support@useshiro.com and attempt to resolve the issue informally. We will work in good faith to resolve disputes amicably.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in courts of competent jurisdiction, and you consent to the personal jurisdiction of such courts.

Waiver of Class Actions

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
